Terms of service

These Terms of Service (the "Terms") set out the conditions for purchases and use of the website Vi-FA.net (the "Site"), operated by Vi-FA ("we", "us"). By using the Site you are deemed to have agreed to these Terms.

1. Formation of contract

A sales contract is formed when we send an order confirmation email (not the automatic reply, but the acceptance notice we send after confirming stock). If we cannot accept an order due to stock shortage, a pricing error or any other reason, we will notify you.

2. Cancellation of orders by us

Even after receiving an order, we may cancel it in the following cases. Any payment already made will be refunded promptly and in full:

  • Payment is not approved by the payment provider
  • The customer's registered information contains false or materially incorrect details
  • The order is for an item with no restock schedule or a discontinued item
  • Fulfilment is impossible due to stock shortage, a pricing error or other circumstances on our side
  • For bank transfers, payment is not confirmed within 3 business days of the order date
  • The customer requests a change or withdrawal before dispatch
  • Bulk orders of the same item or orders objectively placed for resale purposes, where we reasonably judge them to be against our sales policy
  • The customer breaches these Terms

3. Delivery

We dispatch orders in sequence after payment confirmation. Dispatch estimates, shipping fees and delivery methods are set out in our Shipping Policy. We are not liable for damage caused by delivery delays due to natural disasters, epidemics, carrier circumstances, system failures or other causes beyond our control, except in cases of our wilful misconduct or gross negligence.

4. Site operation

We may temporarily suspend or change the operation of the Site for maintenance, system failures or other operational reasons. We are not liable for damage arising from this, except in cases of our wilful misconduct or gross negligence.

5. Changes to these Terms

We may amend these Terms without individual consent where the change is in the general interest of customers, or where it is reasonable in light of the purpose of the contract and the necessity and appropriateness of the change, in accordance with Article 548-4 of the Civil Code of Japan. Changes and their effective date will be posted on the Site; changes unfavourable to customers will be posted at least two weeks before they take effect.

6. External links

We are not responsible for the content, safety or legality of third-party websites linked from the Site. Please use them at your own responsibility.

7. Minors

Minors must obtain the consent of a parent or legal guardian before using the Site. Contracts made without such consent may be rescinded in accordance with the Civil Code of Japan.

8. Prohibited conduct

When using the Site, customers must not engage in:

  • Conduct that violates laws or public order and morals
  • Conduct that infringes the rights of us, other customers or third parties
  • Registering false information
  • Interfering with the operation of the Site
  • Unauthorized access, reverse engineering or other technical interference

9. Disclaimer and limitation of liability

We are not liable for damage arising in connection with the Site or the products sold, except in cases of our wilful misconduct or gross negligence. Where we are liable, our liability is limited to the price of the product that directly caused the damage, except in cases of wilful misconduct or gross negligence, or where such a limitation is not permitted under the Consumer Contract Act of Japan or other applicable laws. Products are used at the customer's own risk. Nothing in this section excludes or limits statutory non-conformity liability, liability under the Product Liability Act, or any other liability we must bear under applicable law, including non-excludable consumer rights under the laws of your country of residence.

10. Personal information

Personal information is handled in accordance with our Privacy Policy.

11. Governing law and jurisdiction

These Terms are governed by the laws of Japan. Any dispute arising between the customer and us in connection with the Site or these Terms shall be subject to the exclusive jurisdiction of the district court or summary court having jurisdiction over our location as the court of first instance. This does not affect any jurisdiction granted to consumers under the Consumer Contract Act of Japan or other mandatory consumer-protection rules of applicable law.
